Terms of Use
Scope
This website (www.lexodr.com), the technological or online portal (Portal), and access to any online dispute resolution services (ODR Services) made available on the Portal by the Service Provider (LexODR) to you (You or User) are subject to these Terms of Use (ToU), the Rules and Procedures (R&P), and the Privacy Policy (PP) published on the Website (available at: [www.lexodr.com]), provided that in the event of a conflict between a provision of the ToU (as amended from time to time) and any provision contained in any specific written agreement that LexODR has entered into with You (Specific Agreement), the provision contained in the Specific Agreement shall override the provision of these ToU to the extent of such conflict. The R&P and the PP published on the Website, as updated from time to time, are incorporated by reference into these ToU. Capitalized terms used but not defined in these ToU will have the meanings ascribed to them under the R&P.
A dispute is considered to be an ‘Active Dispute’ after an invitation by a party to a dispute to use ODR Services through LexODR’s Portal is accepted by all the other parties to such dispute and LexODR agrees to allow all parties access to the ODR Services for resolution. Any violation of these ToU by the User or any other party to an Active Dispute may lead to LexODR suspending, aborting, or limiting the ODR Services to the parties involved. The User is solely responsible for understanding and complying with all applicable laws, rules, and regulations in connection with their use of the Website, Portal, and ODR Services.
Access to the ODR Services facilitated by LexODR and any award made by a dispute resolution professional (DRP) in relation to an Active Dispute do not constitute legal opinions or views on any provision of law by LexODR. Any award, order, settlement proposal, direction, or other communication (written or otherwise) provided by LexODR or a DRP to the User (LexODR Communication) is intended only for the User and relevant parties and should not be used, quoted, or referred to outside its intended purpose unless required for an appeal.
The provision of access to the ODR Services is subject to the User’s prompt payment of any agreed fees.
LexODR does not control the legality or enforceability of agreements between disputing parties and does not warrant the permissibility of arbitration in cases where it is not legally applicable. The following matters are considered non-arbitrable under applicable law:
a. Criminal offenses b. Matrimonial disputes (divorce, judicial separation, child custody) c. Guardianship matters d. Insolvency or winding-up matters e. Testamentary matters (wills, probate, succession certificates) f. Trust disputes under the Indian Trusts Act, 1882 g. Anti-trust/competition law cases h. Fraud cases i. Consumer disputes before the National Consumer Disputes Redressal Commission.
Eligibility, Restrictions, and Undertakings
The User must be a corporate entity registered under Indian law or an individual legally competent to contract under Indian law.
User agrees not to:
a. Use automated systems or create undue loads on LexODR’s infrastructure. b. Bypass security measures or attempt unauthorized access. c. Provide false or misleading evidence. d. Engage in abusive, offensive, or defamatory communication. e. Use another user’s account without authorization. f. Provide false registration information. g. Interfere with the functionality of the Portal or ODR Services. h. Publish or link to malicious content. i. Modify, exploit, or create derivative works from the Website or Portal. j. Allow unauthorized third parties to use the Website, Portal, or ODR Services. k. Harass or deceive other users. l. Hack, infiltrate, or compromise the security of LexODR. m. Violate any applicable laws or regulations.
User acknowledges that:
a. They will not derive any illegitimate benefit from LexODR’s ODR Services. b. They are solely responsible for any fees payable to LexODR. c. They will provide all necessary information required for dispute resolution. d. They have the necessary technological capacity to use the ODR Services. e. LexODR is not liable for errors resulting from the User’s usage. f. All intellectual property of LexODR, including the Portal and Software, remains its sole property. g. Their use of the Website, Portal, and Software constitutes a limited license from LexODR. h. LexODR does not solicit confidential information beyond what is required for dispute resolution. i. All communications related to case assessments, settlement discussions, and mediation are confidential and cannot be used against LexODR or other parties.
LexODR reserves the right to suspend or revoke a User’s access to the Website, Portal, or ODR Services if a breach of these ToU occurs. LexODR may change or discontinue ODR Services but will not remove services for which a User has already paid without replacement or mutual agreement.
Indemnity
The User agrees to indemnify and hold LexODR, its affiliates, officers, and employees harmless from any claims, liabilities, costs, and legal expenses arising from the User’s violation of these ToU.
No Liability for Lost Data
LexODR is not responsible for any loss or failure of data delivery due to computer viruses, unauthorized access, or malicious attacks unless solely attributable to LexODR.
Disclaimer of Warranties & Limitation of Liability
Your use of the Website and Portal is at your own risk and provided “as is” and “as available.” LexODR and its licensors disclaim all warranties, express or implied. LexODR does not guarantee the accuracy, validity, or neutrality of dispute resolution services or outcomes. You access the services at your own discretion and risk.
To the fullest extent permitted by law, LexODR and its licensors shall not be liable for any direct, indirect, incidental, or consequential damages arising from your use of the ODR Services, Website, or Portal. In no event shall LexODR’s total liability exceed the amount you paid for the ODR Services.
Miscellaneous
These ToU may be modified through written amendments or by posting revised versions on the Website. In the event of conflict, a Specific Agreement with a User will take precedence over these ToU.
These ToU are governed by the laws of the Republic of India. Any disputes arising under these ToU shall be subject to the exclusive jurisdiction of the courts in Ranchi, India.
LexODR reserves the right to reference the User as a customer on its Website and marketing materials.
If any part of these ToU is found invalid, the remaining portions shall remain in effect. The User may not assign rights under these ToU without LexODR’s written consent.
